1. Definitions
Boldic Studio: The service provider, registered at Hamontstraat 19, 1066LD Amsterdam, KVK: 77942477.
Client: The natural person or legal entity entering into an agreement with Boldic Studio.
Project: The specific set of services (web design, development, maintenance) as defined in the proposal or quote.
2. Applicability
These terms apply to all quotes, agreements, and services provided by Boldic Studio. Deviations from these terms are only valid if explicitly agreed upon in writing.
3. Proposals and Agreements
All quotes are valid for 30 days unless stated otherwise.An agreement is formed when the Client confirms the quote in writing or via email.Boldic Studio reserves the right to adjust timelines if the Client provides late or incomplete information.
4. Client Obligations
The Client shall provide all necessary data, images, and content required for the Project in a timely manner. Boldic Studio is not liable for delays caused by the Client's failure to provide these materials.
5. Intellectual Property
Ownership: Upon full payment of all invoices, the Client receives a non-exclusive, perpetual license to use the final deliverables (website, code, designs) for their intended purpose.
Boldic Studio Rights: Boldic Studio retains the right to use the Project for promotional purposes (portfolio, social media) and remains the owner of any underlying "know-how," reusable code snippets, or preliminary sketches.
Third-Party Assets: Licenses for third-party tools (e.g., premium plugins, stock photos, fonts) are the responsibility of the Client unless otherwise agreed.
6. Payment Terms
Installments: Unless agreed otherwise, projects are billed in stages: e.g., 40% upfront, 40% upon design approval, and 20% upon delivery.
Due Date: Invoices must be paid within 14 days of the invoice date.
Late Payment: In the event of late payment, Boldic Studio reserves the right to suspend work or temporarily take the website offline until payment is received.
7. Revisions and Scope
The proposal includes a specific number of revision rounds (usually two, unless stated otherwise).Requests that fall outside the original scope ("Scope Creep") will be billed at Boldic Studio’s standard hourly rate, following prior notification to the Client.
8. Liability
Boldic Studio is not liable for indirect damages, including lost profits, loss of data, or business interruption.Total liability is limited to the amount paid by the Client for the specific Project that caused the damage.Boldic Studio is not responsible for the content provided by the Client or for third-party hosting/software failures.
9. Maintenance and SupportUnless a separate Maintenance Agreement is signed, Boldic Studio is not responsible for updating the website or fixing bugs caused by browser updates or third-party plugin updates after the final delivery.
10. Governing Law
This agreement is governed by Dutch Law. Any disputes shall be submitted to the competent court in the district of Amsterdam.
